Agent Force, Inc. Terms of Service

1. Acceptance of These Terms

By accessing or using the Agent Force platform, including any dashboards, tools, websites, agency features, or subscriptions offered by Agent Force (the "Agent Force Services"), you agree to these Terms of Service (the "Agent Force Terms"). If you do not agree, do not use the Agent Force Services.

If you are using the Agent Force Services on behalf of an agency or other entity, you represent that you have authority to bind that entity. In that case, "you" includes the entity.

2. Relationship to My Benefit Pilot (Affiliated Services)

Agent Force, Inc. and My Benefit Pilot, Inc. are separate legal entities that provide distinct services that may be integrated.

My Benefit Pilot directory, listing, and consumer-resource services are provided by My Benefit Pilot, Inc. and governed by the My Benefit Pilot Terms of Service (the "My Benefit Pilot Terms"). Certain account, profile, or dashboard elements may be shared across the services. Even if My Benefit Pilot features are accessed through a shared login or shared profile, your use of My Benefit Pilot features remains subject to the My Benefit Pilot Terms.

Agent Force subscriptions may include or enable certain My Benefit Pilot listing benefits for individual agents (such as an "Elite" badge or prioritized placement). Those listing benefits are delivered as part of the My Benefit Pilot service and remain governed by the My Benefit Pilot Terms.

3. Eligibility; License Requirements; National Producer Number Verification; Enforcement

The Agent Force Services are intended only for (a) licensed insurance agents and (b) insurance agencies (including agency owners and authorized administrators). You represent and warrant that you maintain all licenses, approvals, and appointments required to market and sell insurance products in the jurisdictions where you operate, and that you will maintain accurate disclosures.

To access or use the Agent Force Services, you must provide a valid National Producer Number that belongs to you and maintain any required active licenses. Agent Force and My Benefit Pilot may verify your National Producer Number, license status, and identity at account creation and on an ongoing basis, including through third-party databases and by requesting documentation.

If Agent Force or My Benefit Pilot determines that your National Producer Number is inactive, invalid, not in good standing, cannot be verified, or does not belong to you, we may, at any time and in our discretion: (a) restrict, suspend, or terminate your account; (b) remove, unpublish, disable, or suspend your selling website, listing, profile, or other consumer-facing content; and/or (c) require additional verification. We may (but are not required to) provide an opportunity to correct verification issues; however, we may take immediate action without notice where we believe there is fraud, impersonation, consumer harm, or regulatory risk.

Because Agent Force and My Benefit Pilot may share certain account infrastructure, enforcement actions related to National Producer Number verification, licensing status, impersonation, or misrepresentation may apply across both services, including suspension or termination of related accounts, websites, and listings. Termination for cause (including fraud or impersonation) may result in immediate loss of access and denial of refunds to the extent permitted by law.

4. Account, Login, and Agent Force Profile (National Producer Number-Based Identity)

To use the Agent Force Services, you must create and maintain an account and an "Agent Force Profile." Your Agent Force Profile may include information such as your name, National Producer Number, email, phone, bio, products offered, states of licensure, social links, and other profile data.

• National Producer Number as Unique Identifier: Your account and Agent Force Profile are uniquely associated with your National Producer Number. Agent Force may limit users to one profile per National Producer Number.
• Accuracy and Ownership: You agree that the National Producer Number you provide is accurate, current, and belongs to you. You may not use another person's National Producer Number or license information.
• Profile Uses Across Services: The Agent Force Profile may be used to prefill or support features across integrated services, including your selling website and, where applicable, your My Benefit Pilot listing and resources.
• Updates and License Changes: You agree to promptly update your profile if your contact information, licensing status, or states of licensure change, including if your license lapses, becomes inactive, or is otherwise not in good standing.
• Security: You are responsible for all activity under your account and for safeguarding your credentials. You must promptly notify us of any unauthorized access or use.

Agent Force may request documentation to confirm your identity, National Producer Number ownership, and licensing status. Failure to provide requested information may result in restricted access, suspension, or termination as described in the Eligibility section above.

5. Subscriptions, Plans, Trial, Auto-Renewal, Billing

5.1 Plans and Merchant of Record

Agent Force, Inc. is the merchant of record for Agent Force subscriptions, including:

• Agent subscription: $99 per month (monthly billing)
• Agency subscription: $129 per month (monthly billing)
• Agency downline seats: paid per agent seat (pricing and seat rules are disclosed in-product or in your order flow)

5.2 14-Day Free Trial (New Users Only; One Trial Per National Producer Number)

Agent Force may offer a fourteen-day free trial for eligible new users. The free trial is available only to new users and is limited to one trial per National Producer Number, regardless of plan type, email address, or account variations.

Unless you cancel before the end of the free trial period, your subscription will automatically convert to a paid subscription at the then-current monthly rate.

5.3 Auto-Renewal

Subscriptions automatically renew each month until canceled. You authorize Agent Force to charge your payment method on a recurring basis.

5.4 No Proration

Monthly subscription fees are not prorated unless required by law or expressly stated otherwise in writing.

5.5 Refunds

Refunds are handled case-by-case in Agent Force's sole discretion unless required by law. Accounts terminated for cause (including fraud) forfeit refunds.

6. Cancellation; Effect of Cancellation

You may cancel at any time through your account settings or by contacting support. Cancellation prevents future renewals; you may retain access through the end of your then-current billing period unless your access is terminated earlier for cause.

If you cancel an Agent Force subscription, any My Benefit Pilot listing benefits included with that subscription may end or downgrade pursuant to the My Benefit Pilot Terms. Cancellation of Agent Force does not remove your My Benefit Pilot free listing if you maintain a valid agent profile and are otherwise eligible under the My Benefit Pilot Terms.

7. Agency Accounts; Administrator Permissions; Seat Responsibility

7.1 Agency Controls

Agency accounts may invite individual agents to join the agency within the Agent Force Services. Agency administrators may be granted rights to manage certain downline settings and websites.

7.2 Restricted Fields (Protected Identity and Licensing Fields)

Agency administrators may not edit the following downline fields:

• Name
• National Producer Number
• Email
• Phone
• States of licensure

These restrictions exist to prevent misrepresentation and support compliance obligations.

7.3 Seat Payment Responsibility

The agency may elect to pay for downline seats, or individual agents may assume payment responsibility, as enabled in the product experience. Seat assignment and billing responsibility are governed by the applicable plan configuration and the ordering flow presented to you.

7.4 Agents Joining Other Agencies

Agents may be permitted to join other agencies subject to product rules and compliance obligations.

8. Selling Websites, User Content, and Compliance Review

8.1 Your Content; Your Responsibility

You are responsible for all content you submit, publish, or display through the Agent Force Services, including marketing statements, claims, logos, contact information, and disclosures ("User Content").

8.2 Quality and Compliance Checks

Agent Force may perform quality checks and compliance checks, including review for fraud, unlicensed activity, or misleading content. Agent Force does not guarantee that reviews will identify all issues. You remain solely responsible for compliance.

8.3 Medicare and CMS Marketing Rules

If you market Medicare-related products or content, you agree to comply with applicable CMS marketing rules and requirements. Agent Force may provide a CMS disclosure for Medicare agents on selling websites; you remain responsible for ensuring all content and conduct complies with applicable law and carrier and CMS requirements.

9. Carrier Links and Third-Party Services (Important Disclaimers)

Agent Force may allow you to plug in carrier-provided links or other third-party links. External sites are not controlled by Agent Force.

You acknowledge and agree:

• Agent Force is not responsible for third-party websites, quoting or enrollment systems, pricing, eligibility determinations, underwriting decisions, plan availability, or enrollment outcomes.
• You are responsible for ensuring your links are accurate and compliant.
• Agent Force may implement safeguards to detect broken or fraudulent links; however, link accuracy remains your responsibility.

10. Prohibited Conduct

You may not use the Agent Force Services to:

• Engage in fraud, misrepresentation, or deceptive marketing
• Solicit insurance without required active licenses
• Impersonate any person or entity
• Distribute spam, malware, or abusive content
• Violate CMS rules or other regulatory requirements
• Interfere with the platform's security, integrity, or availability

11. Suspension and Termination; Cross-Service Enforcement

Agent Force may suspend or terminate your access (and remove content) if Agent Force believes you violated the Agent Force Terms, the My Benefit Pilot Terms, applicable law, or if required to protect consumers, compliance, or platform integrity.

Because Agent Force and My Benefit Pilot may share account infrastructure, violations may result in enforcement across both services, including suspension or termination of related accounts and listings.

12. Intellectual Property

Agent Force owns the Agent Force Services and related software, trademarks, and content, except user content. You receive a limited, revocable, non-exclusive, non-transferable license to use the Agent Force Services as intended.

You retain ownership of user content but grant Agent Force a license to host, store, display, and process user content as necessary to provide the Agent Force Services.

13. Privacy

Agent Force's collection and use of personal information is governed by Agent Force's applicable privacy policy: the Agent Force Privacy Policy.

14. Disclaimers

To the maximum extent permitted by law:

• The Agent Force Services are provided "AS IS" and "AS AVAILABLE."
• Agent Force disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• Agent Force is not an insurance agency or insurer, and does not provide insurance, financial, or legal advice. You are solely responsible for your sales, marketing, and compliance obligations.

15. Limitation of Liability

To the maximum extent permitted by law, Agent Force's total liability arising out of or relating to the Agent Force Services will not exceed the fees you paid to Agent Force in the three months preceding the event giving rise to the claim.

Agent Force will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, lost revenue, lost data, or business interruption.

16. Mutual Indemnification

16.1 Your Indemnity

You will defend, indemnify, and hold harmless Agent Force and its officers, directors, employees, and affiliates from claims arising out of:

• Your user content
• Your marketing and sales activities
• Your violation of law (including CMS rules)
• Your misuse of the Agent Force Services

16.2 Agent Force Indemnity

Agent Force will defend and indemnify you from third-party claims alleging that the Agent Force Services, when used as permitted, infringe a United States patent, copyright, or trademark, subject to standard limitations (including claims arising from your content, misuse, or modifications).

17. Dispute Resolution; Arbitration; Class Action Waiver; Wyoming Law

17.1 Governing Law

The Agent Force Terms are governed by Wyoming law, excluding conflict-of-law rules.

17.2 Arbitration Agreement

Except for small claims matters and requests for injunctive or equitable relief, any dispute arising out of or relating to the Agent Force Terms or the Agent Force Services will be resolved by binding arbitration in Wyoming on an individual basis.

17.3 Class Action Waiver

You waive any right to bring or participate in a class, collective, or representative action against Agent Force in court or arbitration.

18. Changes to Terms

Agent Force may update these Terms from time to time. Changes become effective when posted. Continued use constitutes acceptance.

19. Miscellaneous

These Terms constitute the entire agreement regarding the Agent Force Services and supersede prior agreements on that subject. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect.
